These Terms of Service ("Terms") govern your access to and use of jotty.pro (the "Service"), a browser-based application for recording, transcribing, summarizing, and extracting information from audio. The Service is provided by jotty.pro ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 21 years old and capable of forming a binding contract to use the Service.

2. Description of the Service

The Service operates in two modes:

  • Local (default): All processing (recording, transcription, summarization, search) occurs entirely within your web browser using WebAssembly, OPFS, and local storage. No data is transmitted to our servers.
  • AI Providers (BYOK) (optional): When enabled by you, certain tasks may send data directly to third-party AI providers (e.g., OpenAI, Deepgram, Google) using API keys you provide. We do not intermediate, store, or access this data.

3. User Responsibilities

  • You are solely responsible for all content you record, process, or generate ("User Content"), including compliance with applicable laws (e.g., recording consent, data protection, privacy regulations).
  • You must obtain all necessary consents and permissions before recording any individual.
  • You are responsible for the security of any API keys used in AI Providers (BYOK) mode.

4. License Granted to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.

5. Intellectual Property

The Service, including its software, design, and documentation, is owned by us and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service.

6. Payments

Certain features (e.g., access, subscription) require payment. Payments are processed by third-party providers (e.g., Stripe, Lemonsqueeze). All fees are non-refundable except where required by law.

7. Third-Party Services

AI Providers (BYOK) integrates with third-party services using your credentials. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for their performance or security.

8. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. You may stop using the Service at any time.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSCRIPTIONS, SUMMARIES OR ANY AI-GENERATED DATA WILL BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in United States.

13. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on the Service and update the "Effective Date." Your continued use constitutes acceptance of the changes.
